Place popcorn in large roasting pan. To prepare syrup, in a small saucepan, heat corn syrup, margarine, cocoa powder, milk, cornstarch and chocolate extract over medium heat. Whisk until cocoa powder and cornstarch dissolve and mixture thickens slightly Pour chocolate mixture over popcorn, stirring to coat evenly. Bake popcorn 8-10 minutes, or til crisp, stirring once.
